Agreement and provider This End User Licence Agreement (EULA) governs 6386e Tube Compressor, its included assets, documentation and authorised updates (the Software). It is between the licence holder (you) and Fletcher Audio, Salisbury, Wiltshire, United Kingdom (we or us). AudioNode is our distribution and licensing service. Keep your order or licence confirmation with this agreement. Contact: hello@audionode.io; website: https://audionode.io. Read these terms before accepting. Selecting an explicit acceptance control agrees to this EULA. If you do not agree, do not install or activate the Software; contact the seller about any available cancellation or refund rights. The Software is licensed, not sold. A download alone is not a licence, and this agreement does not grant rights to other AudioNode products or sample libraries. 2. Licence grant and term For each valid licence issued to you, we grant a worldwide, non-exclusive licence to install and use the Software for your own personal or professional audio work, subject to this agreement. A standard one-time licence is for the acquired version without a fixed end date, subject to valid termination under section 12 and the activation requirements below. It does not promise every future major version or perpetual support for every operating system. A trial, subscription or other time-limited licence applies only if its duration and any additional restrictions were clearly stated and accepted when it was obtained. A legitimately issued giveaway licence has the same standard use rights unless its offer expressly stated otherwise. No renewal charge or subscription is created merely by installation, activation or online validation. 3. One licence holder, up to three computers Each licence permits its holder to activate and use the Software on up to three computers at a time that the holder owns or controls. Several plug-in instances, projects, compatible hosts, or AU/VST3 formats on the same computer do not require extra seats. This is a three-computer allowance, not permission for three unrelated people to share a licence. For an organisation, each seat is assigned to one authorised individual; other users need their own seats unless a separate written multi-user agreement applies. You may use your three authorised computers as part of your own workflow; this agreement does not impose an additional one-computer-at-a-time rule. A separate virtual machine or system installation that is recognised as a different device can consume another activation. Deactivate a computer through your AudioNode licence account before activating a fourth. If a computer is lost, replaced or no longer accessible, use the account controls or contact support for assistance. Deactivation does not transfer the licence to someone else. Stop using the Software on a computer when you deactivate it, even if a previously cached offline authorisation has not yet expired. 4. Online validation and 30 days offline Initial activation requires an internet connection and a valid AudioNode licence key. Each activated computer can then operate offline for up to 30 consecutive days from its most recent successful online validation. The period applies separately to each computer. Merely connecting to the internet or opening the plug-in does not restart it; the licensing service must successfully issue a renewed authorisation. The plug-in attempts renewal when it can reach AudioNode. Renew before travelling or working offline for an extended period. Keep the computer clock accurate and allow the plug-in or host to reach the licensing service. Deliberately changing the clock, copying authorisation files or defeating validation does not extend the permitted period. If authorisation expires, cannot be verified, or is validly withdrawn, the compressor becomes unavailable until successful validation. Audio is passed through without compressor processing. Your saved project and parameter settings are not deleted, but playback and renders can sound different while processing is unavailable. Check licence status before a session, performance or final export. A temporary network or service outage does not invalidate an otherwise valid cached authorisation; it also does not extend its expiry. Online revocation can take effect on contact with the service; an offline device may not receive it until reconnection or expiry. Continued technical access is not permission to use a licence after it has legally ended. Contact support if a valid licence cannot be renewed; your statutory rights remain unaffected. 5. Protect your licence and copies Keep account credentials, licence keys and activation files private. Do not lend, share, sell, publish, sublicense or otherwise make them available to another person. You must not distribute the Software, an installer, an activated copy or extracted product assets to other people, whether free or paid. Direct collaborators to the official download and their own licence instead. You may retain reasonable backup copies for your own licensed use and any copies that applicable law allows. Do not use backups to exceed the three-computer limit. Do not provide the Software as a shared hosted processing service, rental, public workstation entitlement or shared studio licence without a separate written agreement. Ordinary client work that you perform yourself is allowed. Tell support promptly if a key or account appears compromised. We may take proportionate steps to protect an affected licence and help the legitimate holder restore access. You are not automatically responsible for someone else's wrongdoing merely because your account was attacked. 6. Audio, presets and collaboration You retain your rights in audio, music, videos and other work you create or process with the Software. You may release, stream, sell, broadcast, perform and deliver that work to clients without additional royalties to us or a requirement to credit us. We do not acquire ownership of your work through this agreement. You may share your own parameter presets, rendered audio, stems and project files. A collaborator who wants to run the plug-in must obtain their own licence. Do not embed the Software, its activation data or extracted assets in a shared project or preset pack. Rights in third-party recordings or other source material remain your responsibility. 7. Ownership and permitted exceptions The Software, product artwork, documentation, names and other included intellectual property remain ours or our licensors'. All rights not expressly granted are reserved. Research references and other manufacturers' product names do not imply affiliation, endorsement or ownership by Fletcher Audio. Do not remove ownership notices; bypass licence controls; modify or distribute modified copies; or reverse engineer, decompile or disassemble the Software, except to the extent applicable law permits and that permission cannot be excluded by contract. Nothing here removes mandatory rights to make a necessary backup, observe or test lawful operation, or obtain interoperability information under applicable law. The licence is personal and cannot be transferred or resold without our written permission, except where applicable law gives a transfer right that cannot be excluded. Contact support to arrange a permitted transfer; the transferor must stop using and remove retained usable copies as required by the applicable transfer rules. Separate third-party or open-source licence terms govern their own components and take precedence for those components where they conflict with this agreement. 8. Updates, compatibility and support Use the published system requirements to check compatibility before acquiring the Software. We may provide maintenance, security and compatibility updates. Future operating systems, host versions and major upgrades are not automatically included unless your offer says so or the law requires them. An optional update does not silently change the rights to a version you already licensed. Support is available through hello@audionode.io. Include the product version, operating system, host version and a description of the problem; do not send passwords or a full licence key in an initial support request. Keep appropriate backups of your sessions. The Software is intended for audio production and does not guarantee any particular artistic result or exact equivalence to physical hardware. 9. Activation data and privacy Explicit activation sends your licence key, product identifier, derived device identifier and computer name to AudioNode over HTTPS. Automatic renewal sends the saved signed device authorisation instead of your key. The service also receives connection information such as your IP address. We use these data to verify entitlement, issue authorisations, count computers, manage licences and prevent misuse. A hashed device identifier is device-related data, not anonymous data. The plug-in saves a signed device-bound authorisation and validation timestamps locally for offline use and online renewal. It does not save reusable licence keys in its cache, an operating-system key vault or DAW state. A downloaded licence file still contains your key; keep it private. Requests do not include audio, project contents or parameter settings. Account, order and licence records also support your entitlement. This activation disclosure supplements it. Contact hello@audionode.io for access, correction or deletion requests and retention questions. Deleting information needed to validate a licence can prevent continued activation; statutory rights still apply. Accepting this EULA is not consent to optional marketing or optional analytics. 10. Cancellation, refunds and legal guarantees Any mandatory consumer rights and remedies apply in full. Nothing in this agreement removes rights relating to digital content being as described, of satisfactory quality or fit for a stated purpose where those rights apply, or any required repair, replacement, price reduction, refund or compensation. A technical restriction does not override those rights. For an online purchase, a statutory cancellation period may apply. Where the law allows that right to end when immediate digital supply begins, this requires the legally necessary advance information, express consent and acknowledgement. Accepting an installer EULA alone is not a blanket waiver of cancellation rights. Faulty-content rights remain separate from a change-of-mind cancellation right. Contact the seller shown on your receipt or hello@audionode.io about a cancellation, technical problem or refund. Any additional commercial refund policy disclosed with your order applies alongside, and never reduces, mandatory rights. A free giveaway has no purchase price to refund; other rights that apply to it are not excluded. 11. Responsibility and liability We are responsible for losses caused by our breach to the extent required by applicable law. We do not exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. Mandatory consumer guarantees and remedies are not capped by this section. For consumers, responsibility is determined by applicable law, including its rules about foreseeable loss and digital-content damage. For business customers only, to the extent lawful, neither party is liable under this agreement for indirect or consequential loss, and our aggregate contractual liability relating to the Software is limited to the greater of the amount paid for the affected licence and GBP 100. This business cap does not apply to the liabilities expressly preserved above. 12. Suspension and termination You may end your licence by deactivating your computers and removing your usable copies of the Software. Doing so does not itself create a refund entitlement or remove an existing statutory one. We may end a licence if the underlying purchase is validly cancelled or refunded, its expressly agreed term ends, or you materially breach this agreement. Where a breach can reasonably be remedied, we will give notice explaining it and at least 14 days to remedy it before termination. We may temporarily suspend activation sooner where reasonably necessary to address fraud, unlawful distribution, a serious security issue or a legal requirement; we will explain the reason when lawful and provide a way to challenge a mistake. We will not revoke a valid licence arbitrarily. After valid termination, stop using the Software and remove usable copies, except records or copies that the law requires you to keep. Account removal or uninstalling the plug-in is not guaranteed to erase every licensing record where retention is legally necessary. Your rights in audio you already created continue, as do accrued payment obligations, statutory remedies, intellectual property provisions and any other clauses intended to survive termination. 13. Changes and precedence The version of this EULA accepted when you obtained the licence governs that licence. We may offer revised terms for future licences or updates, but will identify material changes and obtain any acceptance required by law. Posting revised terms does not retrospectively reduce an existing paid licence's core rights. Changes legally required to comply with applicable law will be explained. Mandatory law takes priority. Express product or seat terms agreed in your order take priority where they expressly vary this EULA. This EULA governs use of this plug-in; AudioNode website or sample-library terms govern those separate services and do not silently override the plug-in grant. No statement here removes a legally binding pre-contract representation or liability for misrepresentation. 14. Applicable law, disputes and contact Applicable law determines the governing law and the courts with jurisdiction. This agreement does not impose mandatory arbitration, an exclusive foreign court, a class-action waiver or the loss of any mandatory protection available where a consumer normally lives. You may exercise any right to bring a claim in your local courts that the law gives you. Please first contact hello@audionode.io with your order reference and a concise description so we can try to resolve a complaint. Doing so is not a condition that delays or removes your right to seek legal remedies. If one provision is unenforceable, the remaining provisions continue to the extent lawful; a failure to enforce a provision once does not waive it for the future. Neither party may transfer its obligations in a way that reduces mandatory consumer rights. Keep a copy of this agreement and your order or licence confirmation.
